    We provide social media management, content creation, strategy development, and related services as agreed upon with our clients ("you" or "Client"). The scope of our Services will be outlined in a separate agreement or proposal provided to you.

    2. Client Responsibilities

    You agree to:

    • Provide Accurate Information: Ensure that all information, including social media account details, provided to us is accurate, complete, and up-to-date.

    • Grant Access: Provide necessary access to your social media accounts, content, and any other materials required for us to perform the Services.

    • Adhere to Platform Policies: Comply with the terms and policies of the social media platforms we manage on your behalf.

    • Intellectual Property Rights: Ensure that any content you provide does not infringe on the intellectual property rights of third parties.

    3. Payment Terms

    • Fees: Payment for our Services will be as agreed upon in our contract or proposal. Fees are typically billed on a [monthly/quarterly/annual] basis or as otherwise specified.

    • Payment Schedule: Payments are due within 7 days of receiving an invoice. Late payments may result in a suspension of Services until the account is brought current.

    • Refunds: Refunds will be provided only as specified in our contract or proposal. Generally, fees for Services already rendered are non-refundable.

    4. Confidentiality

    We agree to keep your information confidential and use it only for the purpose of providing the Services. This includes, but is not limited to, social media account credentials, business strategies, and proprietary content.

    5. Intellectual Property

    • Client Content: You retain ownership of any content you provide to us. By providing content, you grant us a license to use, modify, and publish it on your social media accounts as necessary to perform our Services.

    • Our Content: We retain ownership of any original content we create for you, including but not limited to graphics, copy, and videos, until full payment has been made. Upon payment, you will have a license to use this content on your social media platforms.

    6. Limitations of Liability

    • No Guarantees: We do not guarantee specific results from our Services, including increases in followers, engagement, or revenue.

    • Liability Cap: Our total liability to you for any claim arising out of or related to these Terms or our Services will not exceed the amount you have paid us in the last six months.

    • Indemnification: You agree to indemnify and hold us harmless from any claims, damages, or liabilities arising from your use of our Services, your breach of these Terms, or any infringement of third-party rights.

    7. Termination

    • Termination by Client: You may terminate our Services at any time with 7 days' written notice. Fees for Services already rendered are non-refundable.

    • Termination by Us: We reserve the right to terminate our Services with immediate effect if you breach these Terms or engage in unlawful or unethical activities.

    8. Changes to Services and Terms

    We may modify these Terms or the scope of our Services from time to time. We will provide you with notice of any material changes. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms.

    9. Governing Law

    These Terms will be governed by and construed in accordance with the laws of United Kingdom, without regard to its conflict of law principles.

    10. Dispute Resolution

    Any disputes arising under these Terms will be resolved through negotiation, as mutually agreed upon by both parties. If arbitration is selected, it will be conducted in London, UK, and the decision of the arbitrator will be final and binding.

    11. Entire Agreement

    These Terms, along with any contract or proposal, constitute the entire agreement between you and us regarding the Services. Any modifications must be in writing and signed by both parties.
